Introduction and acceptance

These Terms and Conditions govern access to bulkmobilewholesalers.com, applications for a trade account, quotations, invoices, orders and every contract for goods or services supplied by UL Mobiles Ltd trading as Bulk Mobile Wholesalers, referred to in these Terms as BMW, we, us or our.

By accessing or using the website, submitting business information, requesting stock, approving a quotation, paying an invoice or placing an order, the buyer confirms that it has read and accepts these Terms. The person acting for the buyer confirms that they have authority to bind that business or organisation.

Definitions and document priority

  1. 02.1

    Buyer. The registered business, organisation, institution or commercial entity purchasing or seeking to purchase from BMW.

  2. 02.2

    Goods. Any products, devices, accessories, stock batches or other items described in a BMW quotation, offer, invoice or order confirmation.

  3. 02.3

    Contract. The legally binding agreement between BMW and the buyer, consisting of the accepted invoice or order confirmation, any written product-specific terms and these Terms.

  4. 02.4

    Writing. Email, a written quotation, an invoice, an order confirmation or another durable written communication issued or accepted by an authorised BMW representative.

If documents conflict, product-specific terms expressly written on the final invoice or order confirmation take priority, followed by an accepted written quotation, then these Terms. Marketing material and general website content do not override the final commercial documents.

Bulk Mobile Wholesalers is the trading name of UL Mobiles Ltd, a company registered in Northern Ireland under company number NI721693. Our VAT number is XI 478420863.

Business-to-business status

BMW operates exclusively on a business-to-business basis. We do not sell to individual consumers or members of the general public. A buyer must be acting wholly or mainly for purposes relating to its trade, business, craft, profession or institutional activity.

The Consumer Rights Act 2015 is not intended to apply to contracts made under these Terms. If a person is acting as a consumer, they must not apply for a trade account or place an order. Nothing in these Terms excludes a right or liability that cannot lawfully be excluded.

Use of the website

  1. 05.1

    Permitted use. The website may be used for lawful business research, trade enquiries, account applications, stock requests and management of legitimate commercial dealings with BMW.

  2. 05.2

    Prohibited use. A user must not misuse the website, attempt unauthorised access, introduce malicious code, scrape or copy content at scale, interfere with security, impersonate another person or business, submit false information, or use the website for fraud or unlawful trade.

  3. 05.3

    Availability. We may change, suspend or withdraw any part of the website without notice. We do not guarantee uninterrupted access, permanent availability or freedom from technical faults.

  4. 05.4

    Accuracy. Website information is prepared in good faith, but stock, pricing, specifications, availability and market information may change. The final invoice or order confirmation is the controlling record for a specific transaction.

  5. 05.5

    Access controls. We may restrict or block access where reasonably necessary to protect BMW, its systems, other users, legal compliance or commercial relationships.

Trade accounts and account security

A trade account is opened only after the information and checks BMW considers appropriate have been completed. An application does not guarantee approval, credit, stock access or allocation. BMW may accept or refuse an application at its discretion and is not required to provide a reason where doing so would compromise legal, fraud-prevention or commercial controls.

  1. 06.1

    Accurate information. The applicant must provide complete, current and truthful company, ownership, contact, VAT, tax, destination and trading information, and promptly update any change.

  2. 06.2

    Credentials. Account credentials must be kept confidential and used only by authorised personnel. The account holder is responsible for activity carried out through its account unless it promptly reports suspected misuse.

  3. 06.3

    Verification. BMW may request corporate records, identification, proof of address, VAT or tax evidence, ownership details, source-of-funds information, end-user information or other due-diligence documents.

  4. 06.4

    Suspension or closure. BMW may suspend, limit or terminate an account for inaccurate information, non-payment, suspected fraud, security risk, legal or sanctions concerns, abusive conduct, misuse of stock information or breach of these Terms.

Products, stock, grades and authenticity

BMW trades in new, used, graded, refurbished, mixed-grade, repair-led and other clearly described commercial stock. A product may show signs of prior use, refurbishment, testing, handling or storage where consistent with the grade or batch description.

Descriptions, model names, quantities, specifications, images and grade information are provided in good faith. Images may be illustrative unless the offer states that they show the exact goods. Minor variations that do not materially change the agreed model, specification, quantity or grade do not amount to a breach.

  1. 07.1

    Availability. Wholesale stock is time-sensitive and may change or sell before an order is accepted. Displaying stock does not reserve it.

  2. 07.2

    Genuine stock. BMW supplies genuine, original products only. We do not knowingly supply counterfeit, replica or non-genuine devices.

  3. 07.3

    Buyer requirements. Colour, region, language, software, network, storage, keyboard, plug, specification and delivery requirements must be written and confirmed on the invoice before payment.

  4. 07.4

    Mix grades. The composition of a mixed-grade batch is not guaranteed to be equally divided unless an exact ratio is written on the invoice.

Pricing, currencies, VAT and quotations

  1. 08.1

    Currency. Prices are quoted in GBP, EUR or USD as shown on the relevant offer, quotation or invoice. The buyer must pay the full amount in the currency stated on the final invoice.

  2. 08.2

    Price changes. Prices may change without notice before BMW accepts an order. A website price, previous quotation or expired offer does not create a continuing right to buy at that price.

  3. 08.3

    VAT. The applicable VAT treatment, including standard VAT or a margin-scheme route where eligible, will be identified in the commercial documents. The buyer is responsible for obtaining its own tax advice.

  4. 08.4

    Quotation validity. A quotation remains subject to its stated expiry, continued stock availability and BMW's written acceptance. A quotation is not a reservation unless BMW expressly confirms otherwise.

  5. 08.5

    Errors. BMW may correct an obvious pricing, currency, quantity, tax or description error before dispatch. If the correction materially changes an accepted order, the buyer may accept the corrected terms or receive repayment of funds paid for the affected goods.

Orders, acceptance and cancellation

An enquiry, purchase request or trade-account submission is not an accepted order. A contract is formed only when BMW issues a written order confirmation or final invoice and accepts payment, unless BMW expressly confirms another point of acceptance in writing.

Placing an order, approving an invoice or paying BMW constitutes acceptance of these Terms. The buyer must review the model, quantity, grade, specification, price, currency, VAT route, delivery details and every special requirement before payment.

  1. 09.1

    Buyer cancellation. A request to cancel an invoice must be made in writing within 24 hours of invoice issue. If BMW is not informed within that period, the buyer remains liable for the full invoice amount.

  2. 09.2

    Cancellation after 24 hours. BMW may refuse the cancellation, enforce the order or agree a cancellation subject to payment of costs, losses and commitments reasonably incurred.

  3. 09.3

    BMW cancellation. BMW may refuse or cancel an order before dispatch where stock is unavailable, payment or verification fails, an error is identified, performance may be unlawful, or the order creates an unacceptable fraud, sanctions, credit or operational risk.

  4. 09.4

    BMW repayment. If BMW cancels an order for reasons not caused by the buyer, BMW will repay amounts received for undelivered goods. This is the buyer's sole remedy for that cancellation, subject to rights that cannot be excluded.

Payment, references and bank charges

  1. 10.1

    Cleared funds. Unless BMW agrees credit terms in writing, payment is due in full before dispatch. BMW can confirm receipt only after funds have cleared and been allocated to the correct invoice.

  2. 10.2

    Full net amount. BMW must receive the full invoice amount in the stated currency. Exchange differences, intermediary deductions, transfer fees and buyer bank charges are the buyer's responsibility.

  3. 10.3

    Short payment. If the amount received is less than the amount due, BMW may hold dispatch, require the shortfall or short-ship the order proportionally where commercially reasonable.

  4. 10.4

    Payment reference. The exact invoice number must be used as the payment reference. A missing or incorrect reference may prevent allocation and delay or stop dispatch.

  5. 10.5

    Unallocated refunds. To request repayment of an unallocated payment, BMW may require a written explanation on company letterhead, identification of the account holder and supporting transfer evidence. Verification and repayment may take up to 14 days.

  6. 10.6

    Bank-detail security. The buyer must verify the beneficiary details shown on the invoice. Any apparent change must be independently confirmed using a known BMW contact before payment.

  7. 10.7

    Late payment. Where a sum is overdue, BMW may exercise its statutory rights to interest, fixed compensation and reasonable recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998, as amended, in addition to other available remedies.

Delivery, couriers, risk and title

  1. 11.1

    Courier selection. BMW may select the courier and service considered most appropriate for the destination, value, weight, insurance position and operational requirements. Couriers may include DHL, FedEx, UPS, Royal Mail and GLS.

  2. 11.2

    Estimated timing. Dispatch and delivery dates are estimates unless BMW expressly guarantees a date in writing. Standard delivery is slower than express delivery, and time-critical requirements must be confirmed on the invoice before payment.

  3. 11.3

    Split delivery. BMW may deliver an order in parts where stock is held or received through different logistics routes. Split deliveries may arrive at different times and do not create an additional product charge.

  4. 11.4

    Tracking and delays. Tracking is supplied at dispatch. Courier depot delays, missed attempts, customer-identification failures, customs holds and scanning delays may be beyond BMW's control. The buyer should use the courier's tracking and assistance channels where available.

  5. 11.5

    Failed delivery. No cancellation or refund is due while a parcel remains in transit or is being returned. If delivery fails, BMW's responsibility for that dispatch ends once the parcel returns securely to BMW. Re-dispatch may require updated instructions and payment of additional costs.

  6. 11.6

    Peak periods. Next-day delivery is not guaranteed during Christmas, major holidays or other peak periods affected by courier congestion.

  7. 11.7

    Risk. Risk of loss or damage passes to the buyer when the goods are delivered to the agreed address, handed to the buyer or its nominated carrier, or made available for an agreed collection.

  8. 11.8

    Title. Ownership of the goods passes only after BMW has received the full cleared amount due for the relevant order. Nothing permits the buyer to create security over goods that remain BMW's property.

International trade, customs and compliance

The buyer is responsible for import duties, customs charges, local taxes, import declarations, product-registration requirements, VAT registration, EORI numbers and procedures required in the destination country. The buyer must provide accurate consignee, end-use and customs information in time for dispatch.

Both parties must comply with applicable trade sanctions, export controls, customs laws and restrictions. BMW may delay, refuse, cancel or report a transaction where required by law or where the destination, end user, funding route or intended use creates a compliance concern. BMW is not liable for a refusal or delay reasonably required for legal compliance.

Delivery inspection and short shipments

The buyer must inspect the outer packaging before opening, record any visible damage, retain packaging and count the goods immediately. Stock should not be resold, altered, repaired or put into use before the buyer has completed its own reasonable inspection and testing.

A short shipment or missing unit must be reported in writing within 24 hours of delivery. The claim must include the invoice number and photographic and video evidence of the unopened parcel, the opened parcel, labels, packaging and all contents. Claims reported after 24 hours may be rejected.

Warranty coverage

The grade written on the invoice determines the warranty route. The full Warranty & Promise policy forms part of these Terms and should be read before ordering.

  1. 14.1

    Brand New factory-sealed. No BMW warranty applies. Claims must be directed to the manufacturer. Manufacturer cover is typically 12 to 24 months from activation, but BMW does not guarantee the manufacturer's decision or period.

  2. 14.2

    Eligible graded stock. 14 Days, Grade A+, Grade A, Grade B, Grade C, Refurb Boxed and all Mix Grade batches carry a 30-day BMW warranty from the date the buyer receives the stock.

  3. 14.3

    Grade Asis. No warranty, return, refund or replacement applies. The only exception is iCloud or Google Account lock reported within 7 days of receipt.

  4. 14.4

    BER. Beyond Economical Repair stock has no warranty and cannot be returned under any circumstances.

  5. 14.5

    CPO. No BMW warranty applies to Certified Pre-Owned non-activated stock. Non-cosmetic claims must be directed to the manufacturer, whose activated warranty period BMW cannot guarantee.

  6. 14.6

    Battery exclusion. Battery health, performance, degradation and capacity are excluded. A device that does not power on at all follows the separate 7-day reporting rule.

Warranty claims and reporting windows

  1. 15.1

    24 hours. Short shipments and missing units, supported by the evidence described in section 13.

  2. 15.2

    7 days. Grading disputes, broken parts, body damage inconsistent with the described grade, iCloud or Google Account lock, and any device that does not power on. A non-powering device must also be returned within this window.

  3. 15.3

    30 days. Other functional faults, invoice or specification mismatch, and blacklisted or blocked devices. Every blacklist claim requires a valid CheckMend PDF report for each affected device.

Mix Grade batches are not guaranteed to contain equal grade proportions and cannot be returned on cosmetic grounds. Claims received outside the applicable reporting window may be rejected.

Returns, RMA and resolutions

  1. 16.1

    Approval first. Every return requires BMW's written Return Merchandise Authorisation, or RMA, before stock is sent. A completed and approved RMA sheet must accompany the return.

  2. 16.2

    Unauthorised or late returns. A return without a valid RMA, or received outside the applicable window, may be rejected. The buyer is responsible for collecting rejected stock and paying the related shipping costs.

  3. 16.3

    Condition of return. Returned stock must be securely packed, complete, identifiable and in the same condition as when the reported fault was found, subject to reasonable testing.

  4. 16.4

    Resolution. For an approved claim within 30 days, BMW may choose to apply credit to the next purchase, provide replacement stock or issue a refund after assessment.

  5. 16.5

    Later repair. A claim after 30 days but within a reasonable period may, entirely at BMW's discretion, be accepted for repair only. This does not extend the contractual warranty.

  6. 16.6

    Processing. Returns, replacements, credits and refunds may take up to 14 working days from the date BMW receives the returned stock and required information.

Return and warranty exclusions

To the fullest extent permitted by law, BMW does not accept a return or warranty claim arising from any of the following:

  1. 17.1

    Resold stock. Goods already sold or transferred by the buyer to its own customer or another party.

  2. 17.2

    Change of mind. A decision that the buyer no longer wants the invoiced model or batch.

  3. 17.3

    Inability to sell. Slower sales, reduced demand, market-price changes, margin pressure or a more competitive offer elsewhere.

  4. 17.4

    Colour preference. Unless the exact colour was written and confirmed on the invoice. Any agreed colour replacement cost remains with the buyer.

  5. 17.5

    Region, software or language. Unless the exact requirement was written and confirmed on the invoice before payment.

  6. 17.6

    Android network lock. BMW gives no warranty, guarantee or return right for the network-lock status of Android OS devices.

  7. 17.7

    Buyer intervention. Tampering, unauthorised repair, modification, misuse, accidental damage, poor storage or additional faults caused by the buyer or a third party.

Buyer responsibilities and resale

  1. 18.1

    Pre-sale testing. The buyer must inspect and test all stock before resale, deployment or transfer to an end customer.

  2. 18.2

    No advance commitment. The buyer should not sell, promise or commit stock to its customers before receiving, counting and testing it.

  3. 18.3

    Resale compliance. The buyer is responsible for descriptions, warranties, taxes, consumer obligations and regulatory duties arising from its own resale or deployment.

  4. 18.4

    Market suitability. The buyer must decide whether the model, grade, specification, region and commercial route suit its intended market, resale channel and end user.

  5. 18.5

    Records. The buyer should retain the invoice, payment evidence, serial or IMEI records, delivery evidence, testing results and customer-sale records needed to support a claim or compliance check.

Intellectual property

The website and its content, including text, layout, graphics, databases, product presentation, photographs, logos, branding and design, are owned by UL Mobiles Ltd, licensed to it or used with permission. Third-party brand names and marks remain the property of their respective owners.

No content may be copied, republished, sold, scraped, distributed, modified or used to create a competing database, website, stock list or commercial service without prior written consent. A buyer may download or print a reasonable extract solely for internal evaluation of a genuine BMW transaction.

Privacy, data and communications

Personal data submitted through the website or during a commercial relationship is handled under BMW's Privacy Policy and applicable data-protection law. The buyer must ensure that any personal data it provides has been collected and shared lawfully.

BMW may send operational communications needed to manage an account, quotation, payment, delivery, claim or legal obligation. Marketing communications are managed separately and may be unsubscribed from using the method provided.

Confidentiality and stock information

Non-public prices, buyer-specific quotations, stock files, supplier information, device lists, due-diligence material and commercial terms shared by either party must be kept confidential and used only for the proposed or active transaction. This obligation does not apply to information already lawfully public, independently developed, lawfully received from another source, or required to be disclosed by law or a competent authority.

Limitation of liability

BMW's total aggregate liability arising from a product, order or related contract will not exceed the amount actually paid to BMW for the goods giving rise to the claim. Each order is treated separately for this purpose.

BMW is not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, contracts, opportunity, goodwill, anticipated savings, data or business interruption, whether direct or indirect, arising from the website, an order, delivery delay, rejected claim or use or resale of the goods.

BMW does not warrant that goods are suitable for a particular resale platform, destination, network, software environment, buyer type, margin, purpose or end use beyond the grade, model and specification expressly agreed in writing.

Nothing in these Terms limits or excludes liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, breach of a term as to title that cannot be excluded, or any other liability that cannot lawfully be limited or excluded. Every exclusion and limitation applies only to the fullest extent permitted by law.

Events beyond reasonable control

BMW is not liable for delay or failure caused by events beyond its reasonable control, including carrier disruption, severe weather, fire, flood, epidemic, pandemic, war, civil disorder, industrial action, cyberattack, utility or network failure, supplier failure, customs action, border delay, government measure, sanctions change or shortage of transport or goods.

BMW will take reasonable steps to reduce the effect and resume performance. If the event materially prevents performance for a prolonged period, BMW may cancel the affected part of the order and repay amounts received for goods not supplied, subject to costs or liabilities properly attributable to the buyer.

Suspension and termination

BMW may suspend performance, withhold dispatch, cancel an order or terminate the commercial relationship where the buyer fails to pay, materially breaches these Terms, becomes insolvent, provides misleading information, fails due diligence, creates a security or legal risk, or where BMW reasonably believes continued performance may be unlawful.

Termination does not affect rights and liabilities accrued before termination. Payment, confidentiality, intellectual-property, warranty-boundary, limitation-of-liability and governing-law provisions continue where their nature requires.

Changes to these Terms

BMW may update these Terms at any time to reflect legal, operational, security or commercial changes. The updated version will show a new last-updated date and will apply to new orders from its date of publication.

The terms applying to an accepted order do not change retrospectively unless the parties agree in writing or a change is required by law. Buyers are responsible for checking the current version before placing each new order.

General legal terms

  1. 26.1

    Entire agreement. The Contract contains the entire agreement about the relevant order and replaces earlier discussions, drafts or representations, except that nothing excludes liability for fraud or fraudulent misrepresentation.

  2. 26.2

    No waiver. A delay or failure to exercise a right does not waive it. A waiver is effective only when given in writing and only for the specific circumstances stated.

  3. 26.3

    Severability. If a provision is invalid or unenforceable, it will be modified to the minimum extent needed or removed, and the remaining provisions will continue.

  4. 26.4

    Assignment. The buyer may not assign, transfer or subcontract its rights or obligations without BMW's prior written consent. BMW may assign or subcontract where this does not materially reduce the buyer's contractual protections.

  5. 26.5

    Third-party rights. A person who is not a party to the Contract has no right to enforce it under the Contracts (Rights of Third Parties) Act 1999.

  6. 26.6

    Notices. Contractual notices must be in writing and sent to the registered or trading address or verified email used for the order. Email does not constitute service of court proceedings or another document that must be served formally.

  7. 26.7

    Independent businesses. Nothing creates a partnership, joint venture, agency, employment relationship or authority for either party to bind the other.

Governing law and courts

These Terms, every Contract and any non-contractual dispute or claim arising from them are governed by the law of Northern Ireland. Applicable United Kingdom legislation that extends to Northern Ireland continues to apply.

The courts of Northern Ireland have exclusive jurisdiction to settle any dispute or claim arising from the website, these Terms or a Contract. BMW may still seek urgent protective relief or enforce a judgment in another jurisdiction where permitted by law.
